1. About these terms
These terms govern your use of the lumacotextile.com website and the general framework for commercial engagement with LUMA & CO. TEXTILE ("LUMA & CO.", "we", "us"). Specific commercial terms for each order are set out in the individual Purchase Order, Pro-Forma Invoice and Sales Contract documents we exchange with each buyer.
2. Website use
The content on this website (articles, glossary, product descriptions, photography) is published for informational and B2B sourcing purposes. You may reference and link to our content. You may not republish substantial portions of our written content without attribution. Photography is published under our copyright unless otherwise marked.
3. Quote requests and sampling
Quote requests submitted through this website are non-binding inquiries. We respond to every legitimate B2B quote request within one business day with a structured quote, lead-time estimate and sample plan.
Unbranded fabric swatch samples are provided free of charge with the buyer covering courier costs (typically USD 30-60 by DHL). Custom-logo proof samples are charged USD 50-150 per design depending on technique and are fully credited back against your bulk order upon proceeding.
4. Production orders
Production orders are governed by a signed Sales Contract or Pro-Forma Invoice. Standard commercial terms include:
- MOQ: 500 pieces per design / per color / per size (lower MOQ available on case-by-case basis)
- Payment: 30% deposit on PO + 70% balance against shipping documents (T/T wire transfer)
- Lead time: 25-35 days production after sample approval and deposit receipt, plus ocean freight
- Incoterms: default FOB Ningbo; CFR, CIF and DDP also supported
- Currency: USD or EUR; RMB on request
5. Intellectual property
Your intellectual property: Any trademarks, logos, designs, patterns or artwork you provide to us for production remain your sole property. We treat them as confidential, do not use them for any purpose outside your specific order, and destroy or return any working files when requested.
Our intellectual property: The LUMA & CO. TEXTILE brand, website content, photography and proprietary production know-how remain our property. We do not transfer ownership of our internal techniques, tooling or processes through any commercial order.
Joint design work: Custom patterns we develop together (jacquard cards, embroidery digitization files) are jointly owned by default — usable by both parties for non-competing purposes. Specific exclusivity arrangements can be negotiated separately.
6. Quality, inspection and returns
Every order is produced to the spec defined in the buyer-approved tech-pack and confirmed in the Sales Contract. Standard quality protocol is AQL 2.5 inspection per ISO 2859. Buyers may appoint third-party inspectors (SGS, Bureau Veritas, Intertek) at the buyer's cost. Pre-shipment inspection results are shared before container loading.
Returns of conforming product (per the approved spec) are not accepted as standard policy. Quality issues identified within 30 days of port arrival are investigated promptly; remediation may include replacement production, partial credit or other commercially appropriate resolution depending on cause.
7. Confidentiality
We treat all buyer brand information, sourcing strategies and tech-pack specifications as strictly confidential. We will sign mutual NDAs at the buyer's request before sample exchange or detailed quoting on sensitive programs.
8. Compliance and certifications
All product we ship complies with OEKO-TEX Standard 100 Class I, REACH (EU), CPSIA (US children's products where applicable), and other regulatory frameworks listed in our certifications section. Test reports per shipment available on request.
9. Limitation of liability
Our liability for any single order is limited to the invoiced value of that order. We are not liable for indirect, consequential or special damages including lost profits, lost brand value or third-party claims arising from the use of our products beyond the agreed product specification.
10. Force majeure
Neither party is liable for delays or failures resulting from force majeure events including but not limited to natural disasters, port closures, pandemics, government action, war or major supply-chain disruptions. We commit to transparent and timely communication about any force-majeure delays.
11. Governing law and disputes
These terms and all commercial contracts with LUMA & CO. TEXTILE are governed by the laws of the People's Republic of China. Disputes that cannot be resolved through good-faith negotiation will be submitted to arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) Shanghai Sub-Commission, with proceedings conducted in English.
12. Changes to these terms
We may update these terms from time to time. The "Last updated" date at the top of this page indicates the most recent revision. Material changes affecting existing orders will be communicated directly to the affected buyer.
